Scope of Work

Scope of work may include business, accounting, accounting software, other software such as operating system, browser, and third-party software
that works with QuickBooks, and related consulting services. Consulting may include planning and design, configuration, implementation and other
setup, training, bookkeeping, accounting, troubleshooting, accounting software file or profile repair, integration of QuickBooks (R) software, conversion
from one software program to another, other similar support, or a combination of these services.

Participants

A maximum of two participants is allowed per consultation. For consultation(s) with three or more participants (in addition to the Consultant), please
inquire about QuickBooks classes or group training. Rates and terms for group training may vary.

Hourly Rates and Per-Session Minimums for On-Site and Online Consulting

Hourly rates and per-session minimums are on the payment page linked above. Rates are for regular hours, Monday through Friday, 8:00 a.m. to 5:00 p.
m. Pacific Time. Extra charges may apply for evening, night, weekend and rush services. Rates and terms for on-site consulting may vary depending on
location and other factors. Any other products and services such as class registration are sold separately. A one-hour minimum applies to scheduled
remote sessions. A three-hour or longer minimum applies to scheduled on-site sessions. Unscheduled "drop-in" remote sessions are available and
encouraged for established clients with retainers, and are billed in either quarter or tenth of hours (we will tell you which applies to your case).

Regular Hourly Rates for Remote Consulting
  • $150 per hour.
  • One-hour minimum per scheduled session.
  • Two-hour or longer sessions for file customization generally allow us to complete more work in less time in reviewing goals and strategies,
    recapping the session such as work completed and recommendations made, and updating the project plan with details of work completed, work
    still to do, and the status of tasks.
  • Two-hour sessions are generally recommended for receiving training on the essentials of QuickBooks while also incorporating such things as
    software selection and file customization. Each course is highly-customized for each Client, and we generally cover a large amount of
    information in the training. It's also due to the act that we adjust the training as we go according to what the client needs, Client questions during
    training, and other factors. Completing the training in one session saves time.
  • Two-hour sessions are often recommended for file repair. If your file will require a lengthy process to be run, it's important that process not be
    interrupted. For this reason, we encourage you to allow extra time after the scheduled session in order to complete certain work.

Regular Hourly Rate for In-Person Consulting at Consultant's Office
  • $300 per hour for first hour of each session.
  • $150 per hour for each additional hour of same session.
  • Two-hour minimum per session.
  • Example: $450 for a two-hour session.
  • Depending on the time of year, we may have offices in Novato, San Rafael, or Sausalito, California, or other places on a full or part time basis.

Bulk Purchase for Remote Services -- $900 Option
  • For remote services only.
  • Rate is $900 for nine hours of consulting services.
  • $900 retainer due prior to beginning work. Client will not allow retainer balance to exceed $3,000.
  • Two-hour minimum per session, except unscheduled remote sessions.
  • We will schedule all sessions as soon as possible to save time in planning.
  • Client will purchase the option in one transaction through PayPal.
  • Both Client and Consultant shall make reasonable effort to schedule sessions at mutually convenient times and to complete all work as soon as
    possible. Times of day and days of week shall ultimately e at Consultant's discretion. If Client fails to participate in sessions for over three
    months, then Consultant may close case without refund of any retainer balance.
  • Retainer fee is payable by Client to Moreda Consulting upon agreement of contract and is non-refundable. Consultant shall bill first to the
    retainer. If retainer is depleted, Client shall pay additional balance due, if any, upon presentation of a bill from Moreda Consulting.
  • Statements may be submitted monthly or, at Consultant's discretion, more often. Statements may also be submitted at other times.

Bulk Purchase for Remote Services -- $1,800 Option
  • For remote services only.
  • Rate is $1,800 for 20 hours of consulting services.
  • $1,800 retainer due prior to beginning work. Client will not allow retainer balance over $,3000.
  • Two-hour minimum per session, except unscheduled remote sessions.
  • We will schedule all sessions as soon as possible to save time in scheduling and planning.
  • Client will purchase the option in one transaction through PayPal.
  • Client and Consultant shall make reasonable effort to schedule sessions at mutually convenient times and to complete all work as soon as
    possible. Times of day and days of week shall ultimately be at Consultant's discretion. If Client fails to participate in any sessions for over three
    months, then Consultant may close case without refund of any retainer balance.
  • Retainer fee is payable by Client to Moreda Consulting upon agreement of contract and is non-refundable. Consultant shall bill first to the
    retainer. If retainer is depleted, Client shall pay additional balance due, if any, upon presentation of a bill from Moreda Consulting.
  • Statements may be submitted monthly or, at Consultant's discretion, more often when appropriate. Statements may also be submitted at other
    times.

Additional Fee(s) for Travel Farther than 50 Miles of Consultant's Office for on site Meetings
  • Rates may vary.

Additional Fee(s) for Evening, Night, Weekend, Holiday, and Rush Services
  • Rates may vary.

Deposits, Charges and Payments for Remote Consulting Sessions

Before each online consulting session and within ten minutes of scheduling it, Client will pay a deposit equal to the amount of the fee to be charged for
the scheduled session, using the payment page listed above.

If any session goes longer than scheduled, Client will immediately pay for any additional time prior to using that time, using the same payment method as
above.

Deposits, Charges and Payments for In-Person Consulting Sessions

Before each in-person consulting session and within fifteen minutes of scheduling it, Client is to pay a deposit equal to the amount of the fee to be
charged for the scheduled session, using the payment page listed above.

If a session goes longer than expected, client will immediately pay for any additional time used. To extend a session, Client will pay for any additional
time prior to using that time, using the same payment method detailed above.

Commission Payments

If payment will be by commission only, or by commission also, then an amendment detailing commission-based services and compensation is part of this
agreement and will be sent by email between Consultant and Client. This amendment may include scope of work, commission schedule, and other
details.

Charges, Payments and Deposits for All Consulting Sessions

Payments will be applied to the oldest charges first. You may pay for one or more sessions in full. Any additional time worked during any session will be
rounded up to the next fifteen minutes and charged at the applicable hourly rate. Payment in full is due immediately.

Before or after the above-scheduled session(s), you may find that you would like additional consulting, whether delivered remotely or in person. If we
schedule additional consulting sessions or agree to additional consulting delivery methods, such as online or on-site delivery, we may do so verbally
and the same rates and terms of this agreement will apply as long as the consulting services are delivered within three months or by December 31,
2020, whichever is sooner. By participating in additional consulting sessions, Client agrees to pay for said sessions. Rates are subject to change
without notice.

Ongoing Business Consulting Services

Occasionally, we provide Ongoing  Business Consulting Services on a longer-term temporary basis to establish and reach accounting, finance,
customer relationship management, marketing and other business goals using QuickBooks and, when helpful, additional systems such as both office
practices and third-party software that work with QuickBooks. Additional qualifications and requirements exist in order to receive this service, and an
amendment to this contract is required and will specify the following details prior to agreement:

  • Hourly rate for ongoing services.
  • Hourly rate for remote meetings (telephone, email, online meeting, etc.).
  • Retainer amount due prior to work being started.
  • Any time retainer balance is at a certain amount or less, Client will replenish it to the amount specified within 3 days. Any retainer payments of
    amounts over $900.00 may be paid for by check made out to Moreda Consulting. Client will make sure that retainer amount does not exceed a
    specified dollar amount at any time.
  • Copying and printing charges of $0.15 per page may apply, depending on work being done.
  • Performance of Services: The times of day and days of week that Consultant is to work shall be determined by Consultant. Consultant will make
    reasonable efforts to accommodate Client's scheduling needs.
  • Client will fully prepare for and participate in all meetings as specified.
  • Retainer: The retainer fee is payable upon agreement of contract, and is non-refundable. Consultant shall invoice first to the retainer. If retainer
    is depleted, Client shall pay additional balance due, if any, upon presentation of invoice from Moreda Consulting.
  • Expense Reimbursement: Consultant is entitled to reimbursement from Client for the following "out-of-pocket expenses": travel expenses and
    travel-related meals, bridge tolls, parking expenses, livery services, lodging, airfare, and any other reasonable travel expenses.
  • Client's Support: Client is to provide all information and documents necessary for the proper completion of the wok in an accurate, complete,
    organized and timely manner; Moreda Consulting can walk you through this and assist in completing this work as part of the service when
    specified in our contract. Information and documentation is to be submitted remotely, in person, on paper, or other ways, as specified in our
    contract.
  • Statements will be issued monthly or, at Consultant's discretion, more often. Statements may also be issued at other times.

Signing Into Online Support Session(s)

Moreda Consulting uses the Cisco WebEx platform for online sessions. It typically takes only about a minute for a Client to join an online session.
However, and especially for a first session, it can take longer. Client is to sign into any online meeting as early as possible, up to five minutes before
each session's scheduled start time. At the scheduled session start time, Consultant will call Client at the above U.S.-based telephone number that the
Client entered in the Session Telephone Number field above, or  we will both dial into the number provided by WebEx.

Client will join our online session prior to the scheduled session start time. Refunds may not be issued for lateness, no shows, or computer or user
issues related to Client joining or failing to join a meeting or not having passwords or access to QuickBooks file(s). Please be sure to have any
necessary passwords available and do not share them with us.
Client will complete a successful WebEx test session on the computer(s) that Client will
use for our scheduled session prior to our first scheduled session start time in order to avoid technical or other issues. WebEx is generally available
24/7 to assist you with this for free. Client is responsible for following the instructions on that page and otherwise having a computer that can join any
of our WebEx meetings.

Information, Documentation, and Backup of QuickBooks Files

Client is responsible for making available during each consulting session any necessary information and documentation needed for our work together.
This may include but not be limited to information such as tax form and accounting method used, bank statements and receipts.

Client will follow good data protection practices including those related to backing up their data. Client is ultimately responsible for maintaining and
securing Client's electronic and paper data.

Hardware, Software and Related

Client is responsible for making available during each consulting session any necessary and properly working hardware, legally-licensed and updated
software including QuickBooks software as needed (unless otherwise arranged for with Consultant), network connections, back up devices, and any
other necessary computer components including but not limited to computer hardware, software, and subscriptions.

Administrators and Company Information

Please note that for session(s) to be as productive as possible, participant(s) may need user names, passwords, and other credentials, and
appropriate authorization and rights for system administrator access and use, accounting software administrator access and use, and subscription
access and use. These may be needed, for example, if a restart of your computer is necessary. To protect your privacy, Client is responsible for
having access to and entering any and all required passwords for each session. If we will be troubleshooting your file, passwords may need to be
entered more than once. Client will not share any passwords with Consultant.

Attendance and Recordings

Only participants listed above are allowed to attend, hear, see, or participate in the consulting session(s) scheduled as part of this contract. Client and
participants are not allowed to create audio or video recording(s) of any session(s). For prerecorded training on QuickBooks and accounting in general,
your specific accounting software and system, or other topics, please ask about our Learning Program or other services.

Performance of Services

The manner in which services are to be performed is at the sole discretion of Consultant.

Lost Profits

Client will not hold Moreda Consulting or Christine Moreda responsible for any of Client's lost profits due to software or accounting system use, misuse
or lack of use.

Insufficient Funds

Client is responsible for any financial institution fees related to the return by a financial institution for nonsufficient funds (NSF) of any payment(s)
whether payment(s) were made by bank check, online transfer, or any other means, whether issued by Client or issued by another party on Client's
behalf to Consultant in payment for any services, or $35.00 per payment, whichever is greater.

Late Payment

In the event any balance due is not paid on time, Moreda Consulting may charge finance charges at the highest rate allowed by law.

Cancellation

In the event Client needs to cancel or reschedule any consulting session(s), Client will notify Consultant of cancellation at least three full days prior to
the time of the session(s) being cancelled by email by sending an email notification to Consultant at christine@moredaconsulting.net clearly stating that
Client is cancelling the session(s), or Client is to pay a late cancellation fee of $100.00 due immediately. Moreda Consulting reserves the right to waive
this fee.

Additional Terms

Client agrees to Moreda Consulting's User Agreement and Privacy Policy, which are each part of this agreement. Times are in Pacific Time unless
otherwise stated.

Expiration Date

This Consulting Agreement expires six months after it was entered into, or on December 31, 2019, whichever is earlier.

Authorized Representative

The person listed above as Authorized Representative is the Client or is legally authorized by Client to enter into this agreement on Client's behalf.

Email Notifications

Client will accept any notifications electronically at the email address Client provides in this agreement, including any invoices, billing statements, or legal
notices.

Approval, Printing, Submission of Contract, and Payment

Confirm you agreement to this contract and pay as required within fifteen minutes after scheduling your appointment in order to continue to reserve the
above-scheduled session time(s). To do so, complete the following steps:
  • Step 1: Complete this form, including entering the time we verbally scheduled. Print the completed form for your records as it is part of your
    record of our agreement. Then click the Submit button on this page to confirm our agreement. A summary of what you submitted on the form will
    be sent to Consultant.
  • Step 2: Pay for the session using the payment page listed above, and the instructions on this page.

Electronic Signatures

You acknowledge that by clicking the "Submit" button on this page that you are indicating your intent to sign up for electronic communications and that
clicking the Submit button shall constitute your signature.

Federal Law

You acknowledge and agree that your consent is being provided in connection with a transaction that may affect interstate commerce that may be
subject to the Federal Electronic Signatures in Global and National Commerce Act, and that if this is the case, that you and Moreda Consulting both intend
that the Act apply to the fullest extend possible to validate our ability to conduct business and communicate with you by electronic means.

Confirm Our Consulting Agreement

This agreement is between Moreda Consulting and the Client named below. The agreement applies to
business consulting services whether delivered in person, remotely, by Internet, email, or postal mail, live
or by prerecorded presentation, or in any other in-person or remote way, or in any combination of ways.

To continue to reserve the upcoming consulting time(s) we have scheduled, or for any ongoing services,
Client must accurately complete and submit this written agreement and prepay the required amount
according to our verbal agreement and prior to the offer expiration time, called the due time.

If a complete and accurate written agreement and payment is not received by Moreda Consulting by the
due time, then Moreda Consulting may cancel the reserved consultation time(s). If that cancellation is
within three days of the start time of the first scheduled consultation, then the cancellation will be a late
cancellation and Client may be charged a late cancellation fee as specified in this agreement.
